Welcome to ProGuard Protection LLC (“ProGuard,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, online store, services, and products (collectively, the “Services”). Please read these Terms carefully before using the Services.

By accessing, browsing, purchasing from, or otherwise using the Services, you agree to be bound by these Terms, our Return Policy (available here: https://proguardhockey.com/policies/refund-policy), and our Privacy (Policyhttps://proguardhockey.com/policies/privacy-policy). If you do not agree with these Terms or the referenced policies, you should not use our Services.

1. Eligibility & Account

By using the Services, you represent and warrant that:

  • You are at least the age of majority in your state, province, or country of residence;

  • You have the legal right and authority to enter into these Terms;

  • You are responsible for all activity under your account.

To make purchases, you may be required to provide certain personal information, including your email, billing address, shipping information, and payment details. You agree to keep this information accurate and up to date.

You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. You may not transfer, sell, or assign your account.

2. Products & Descriptions

We aim to represent our products accurately; however:

  • Product images and colors may vary due to screen display differences.

  • Sizes and measurements are approximate.

  • Product descriptions are provided for convenience and may be updated at any time.

We do not guarantee that your expectations will be met based on the product depictions online. ProGuard reserves the right to discontinue products at any time and to limit quantities as needed.

ProGuard products are designed to reduce the risk of athletic injury, but no protective gear can eliminate all risk. Use of our products is subject to our Product Disclaimer & Assumption of Risk, which is incorporated by reference into these Terms.

3. Orders & Acceptance

Placing an order constitutes an offer to purchase from you. ProGuard may accept or decline your order at our discretion. Acceptance occurs only when we confirm the order and process payment.

You agree that once an order is accepted:

  • You are responsible for paying all applicable charges;

  • Cancellation or modification may not be possible after acceptance;

  • If an order is not accepted, we will notify you and refund any payment received.

Your purchases are also subject to the Return Policy linked above.

4. Pricing & Payment

Product prices, shipping fees, taxes, discounts, and promotions may change without notice. The price you pay is the one shown at the time you place your order.

You agree to:

  • Provide accurate payment information;

  • Authorize us to charge your payment method;

  • Pay all amounts due, including shipping and applicable taxes.

You represent and warrant that you are authorized to use the payment method provided.

5. Shipping & Delivery

Shipping dates and delivery estimates are provided as guidance only. ProGuard is not responsible for:

  • Shipping carrier delays;

  • Customs clearance delays;

  • Lost or stolen packages once delivered;

  • Events outside our control (force majeure).

Title and risk of loss pass to you when products are transferred to the carrier.

6. Intellectual Property

All content on the Services, including trademarks, logos, images, text, and designs, is owned or licensed by ProGuard or our partners. You may use the Services for personal, non-commercial purposes only.

You agree not to:

  • Reproduce, distribute, or modify content without permission;

  • Use ProGuard trademarks without written consent.

All rights not expressly granted are reserved.

7. Third-Party Tools & Links

From time to time, you may have access to third-party tools or links. ProGuard does not control such tools or content and is not responsible for their accuracy, reliability, or performance. Your interactions with third-party services are solely between you and the third party.

8. Privacy

Your use of the Services is also governed by our Privacy Policy [LINK]. By using the Services, you consent to the collection, use, and sharing of your information as described therein.

9. Feedback

If you provide feedback to us, you grant ProGuard a perpetual, worldwide, royalty-free license to use, modify, and publish that feedback for any purpose.

You represent that any feedback is your own and does not violate any third-party rights.

10. Prohibited Conduct

You agree not to use the Services for unlawful, harmful, or abusive purposes, including but not limited to:

  • Violating laws or rights of others;

  • Uploading malicious code or interfering with Service functionality;

  • Extracting or scraping data;

  • Using the Services in ways that disrupt others’ use.

We may suspend or terminate access for violations.

11. Termination

We may suspend or terminate your access to the Services at any time without notice. Termination does not affect provisions that should logically survive, such as Intellectual Property, Indemnification, Disclaimers, and Limitations of Liability.

12. Disclaimer of Warranties

THE SERVICES AND ALL PRODUCTS SOLD THROUGH THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PROGUARD DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROGUARD AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE SERVICES OR PRODUCTS.

14. Indemnification

You agree to defend, indemnify, and hold harmless ProGuard, Shopify, and their affiliates from any claims, losses, liabilities, and expenses arising from:

  • Your breach of these Terms;

  • Your use of the Services;

  • Your violation of any rights of another.

15. Governing Law

These Terms are governed by the laws of the state in which ProGuard Protection LLC is registered, without regard to conflict-of-law principles.

16. Changes to Terms

We may modify these Terms at any time by posting the updated version online. Material changes will be communicated where required by law. Continued use of the Services after changes constitutes acceptance.
